These Terms of Service ("Terms") govern your access to and use of the NILproof platform ("Platform") operated by The Center for Entrepreneurship & Innovation ("CEI," "we," "us," or "our"). By creating an account or using the Platform at app.nilproof.co, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
You must be at least 13 years old to use NILproof. If you are under 18, you represent that you have parental or guardian consent. The Platform is available to athletes, creators, rights holders, and enterprise institutions engaged in NIL activity.
To access the full Platform, you must complete our trust and verification setup, which begins with personal information and role-specific details. Government-issued identification, facial verification, W-9 collection, and related compliance materials may be requested later when protected features, payouts, or higher-trust workflows apply. You are responsible for maintaining the security of your account credentials and for all activity under your account.
NILproof reserves the right to deny, suspend, or revoke verification status if submitted information is inaccurate, fraudulent, or violates these Terms.
NILproof allows you to voluntarily connect third-party social media accounts (including TikTok, Instagram, and YouTube) to display your performance analytics. By connecting a social media account, you authorize NILproof to access the data permitted by the scopes you approve during the OAuth flow. You may disconnect any connected account at any time from your Settings page. NILproof does not post on your behalf, access private messages, or share your social media data with third parties.
By providing your phone number during registration, you consent to receive transactional SMS messages from NILproof. These include verification updates, deal alerts, contract reminders, and payment confirmations. Message and data rates may apply. You may opt out at any time by replying STOP.
NILproof facilitates connections between athletes/creators and rights holders. We are not a party to any deal or transaction between users. All NIL agreements are solely between the participating parties. Users are solely responsible for ensuring NIL activity complies with applicable NCAA rules, state laws, and institutional policies.
The NILproof Platform, including its design, code, trademarks, and content, is owned by CEI and protected by applicable intellectual property laws. You retain ownership of content you submit and grant NILproof a limited license to display it as necessary to operate the Platform.
Your use of the Platform is also governed by our Privacy Policy, incorporated into these Terms by reference.
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. NILPROOF DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NILPROOF AND CEI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
You may delete your account at any time from the Settings page. NILproof reserves the right to suspend or terminate your account at any time for violations of these Terms.
These Terms are governed by the laws of the United States and the state in which CEI is incorporated. Any disputes shall be resolved through binding arbitration or in the courts of applicable jurisdiction.
We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
